Financial Considerations

Article 32. The Foundation Board of Directors Chairman or the Foundation Board of Directors Vice-chairman acting for the chairman has the power to order a payment for the management fo the foundation activities normally not more than 50,000 baht each time. If the amount to be paid exceeds this, such payment must have already won an approval from the Foundation Board of Directors by a majority vote. Exception is in necessary and urgent cases which are under the Foundation Board of Directors Chairman's judgement whether or not to order the payment. But the chairman must report to the next Foundation Board of Directors meeting after having made such a decision. Nevertheless, every donation according to objectives stated in article 4 must already have been granted approval by a majority vote from the Foundation Board of Directors.

Article 33. The Treasurer has the power to maintain cash of not more than 5,000 baht each time.

Article 34. Cash or ducuments of rights of the foundation must be deposited with a bank or other government-guaranteed financial institutions or buy government bonds or state enterprise bondsas deemed appropriate by the Foundation Board of Directors.

Article 35. For payment order by cheques or payment bills, every cheque or payment bill must have a signature of the Foundation Board of Directors Chairman or his representative together with a signature of the secretary or the treasurer to be valid.

Article 36. Payment of the foundation must be paid from interests generated from capital assets of the foundation or from money donated by donors who intend that the foundation use it directly instead of from interests generated therefrom.

Article 37. The Foundation Board of Directors shall set up rules concerning finances, accounts, and assets of the foundation as well as specify the power and duties concerning earnings and expenditure besides those specified in the regulations.

Article 38. A foundation auditor is to be appointed, with approval by the Foundation Board of Directors, from individuals who are not a committee member or other foundation officers. The auditor may be an honorable position or may receive compensation as specified by the Foundation Board of Directors.

Article 39. The auditor has the power and duty to examine foundation accounts; certify the income and expenditure account and the annual balance sheet which the Foundation Board of Directors must submit to the Interior Ministry. The auditor has the right to examine accounts and related documents as well as interrogate the Foundation Board of Directors Members and the foundation officers concerning matters related to the finance, acounts, and related documents.
 
Section 10
Amendments to the Charter

Article 40. Amendments to the charter may be done only by Foundation Board of Directors meetings with not less than three-fourths of Foundation Board of Directors Members attending. The resolution to amend the charter must be by a not less than two-thirds vote of the attending Board of Directors Members.
 
Section 11
Dissolution of the Foundation

Article 41. In case of dissolution of the foundation from the Board fo Directors decision or other reasons whatsoever. All remaining foundation assets shall be divided equally among the Thai Red Cross Society and the Sai Jai Thi Foundation.

Article 42. Besides the reasons stated in the laws, the foundation may dissolve itself without a court order in the following cases:
    42.1 The foundation has been permitted to register as a legal entity but do not receive full assets as promised,
    42.2 If two-thirds of the Foundation Board of Directors Members decides so,
    42.3 If the foundation cannot find as many Board of Directors members as stipulated in the charter,
    42.4 If the foundation cannot continue to function from whatever causes.
 
Section 12
Miscellaneous Topics

Article 43. In case that a problem arises from interpretation of this charter contents, the Foundation Board of Directors by a majority vote of the attending members shall have the final word in the interpretation.

Article 44. For matters not specified in the foundation charter, the Civil and Commercial Code shall apply,

Article 45. The foundation shall not operate for profit and shall not conduct itself in line unstated in this charter.
